1. Scope of Engagement & Proposals
These Terms and Conditions govern all contracts, proposals, quotations, and service level agreements (SLAs) entered into with Conventions and Exhibitions Private Limited ("the Company") for the leasing, fabrication, erection, and management of temporary event overlays, German hangars, modular structures, audio-visual technology, and related spatial installations.
Any quotation or technical scope of work submitted by the Company remains valid for thirty (30) calendar days from issuance, unless otherwise explicitly stipulated in writing.
2. Site Handover, Access & Ground Conditions
The Client is responsible for procuring all venue rights, local municipal clearances, fire department permissions, and providing unhindered, continuous 24/7 site access for the Company's transport vehicles, cranes, and engineering crews throughout the agreed mobilization and demobilization periods.
The ground surface must meet preliminary bearing pressure criteria specified in our engineering technical dossier. Any undisclosed subsurface utilities (pipes, high-voltage cabling) or unstable terrain requiring unforeseen stabilization shall be addressed at the Client's expense.
3. Structural Safety, Weather & DIN Compliance
All temporary German structures erected by the Company comply strictly with German DIN 4102 B1 fire ratings and are engineered to withstand standard wind speeds up to 120 km/h under secure anchoring conditions.
In the event of extreme meteorological phenomena (Category 3+ cyclones, gale-force winds exceeding engineering thresholds, or flash floods), the Company reserves the right, in consultation with venue safety authorities, to evacuate structures to protect human life without incurring breach of contract liabilities.
4. Payment Terms & Mobilization Schedule
Unless otherwise negotiated under formal government procurement tenders:
- 50% Mobilization Advance: Payable upon formal signing of work order and allocation of structural inventory.
- 40% On-Site Delivery: Payable upon transport arrival and initiation of ground erection.
- 10% Final Retention: Payable upon technical handover and signing of completion certificate prior to event inauguration.
5. Confidentiality & Non-Disclosure (Government/Summit Overlays)
The Company recognizes that international plenaries, diplomatic summits (e.g., G20), and defense expositions involve sensitive protocol and classified floor layouts. The Company guarantees strict adherence to all mutually executed Non-Disclosure Agreements (NDAs), ensuring that architectural schematics, security perimeters, and VVIP ingress paths are guarded with high-grade digital encryption.
6. Governing Law & Dispute Resolution
All contracts shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or in connection with our services shall be referred to arbitration in New Delhi under the Arbitration and Conciliation Act, 1996.
